These Terms of Service exist to make the rules of the game clear from the beginning:
how we work, what you can expect from us, and what we expect from you.
By accessing this website or engaging any service provided by Makode, you agree to the terms set forth below.
1. Who we are
Makode is a strategic and creative movement that builds high-performance businesses through e-commerce operations.
We do not operate as a traditional agency. We exist to raise standards, challenge the status quo, and guide companies to their next level by combining method, strategy, and intentional execution.
When we refer to “Makode,” we mean rigor, responsibility, and decisions guided by continuous evolution.
When we refer to the “Client” or “you,” we mean the company or individual who chooses to work with us in an active, conscious, and collaborative manner.
Makode operates globally through legal entities in Brazil, Canada, and the United States.
2. How we work
Our work always begins with a clearly defined scope, an established method, and shared responsibilities.
Everything to be delivered, how it will be executed, and within which limits is described in a proposal or Statement of Work (“SOW”).
Anything not expressly included in the SOW is considered a change in scope.
Makode works with the Client, not in place of the Client.
Clarity, collaboration, and responsiveness are essential parts of the process.
3. Working principles
At Makode, results are a consequence.
What we uphold is method, rigor, and well-founded decisions.
Our work is guided by simple, non-negotiable principles:

These principles guide decisions, priorities, and boundaries.
4. Client responsibilities
For the work to be effective, the Client agrees to:

Provide accurate and complete information;

Grant the necessary access to the tools involved;

Respond to feedback and approvals within the agreed timelines;

Ensure that its business, offerings, and communications comply with applicable laws and platform policies.
Delays caused by lack of access, internal dependencies, or third parties may impact timelines.
5. Platforms and third parties
A significant portion of the work involves external platforms, such as Shopify, applications, paid media platforms, CRMs, and analytics tools.
These platforms have their own rules, change frequently, and are not controlled by Makode.
Costs related to software, licenses, media, and third-party services are the Client’s responsibility, unless expressly agreed otherwise.
6. Timelines, estimates, and expectations
Timelines are estimates based on the information available at the time of planning.
Makode recommends approaches based on experience and data but does not guarantee specific metrics, such as revenue, conversion rate, ROAS, or growth. Performance depends on factors beyond strategy alone.
7. Payments
Fees, payment schedules, and conditions are defined in the SOW.
In the event of non-payment, Makode may suspend deliverables until payment is regularized.
Unless otherwise agreed, payments made are non-refundable, as team capacity is allocated in advance.
8. Intellectual property
The Client retains ownership of its assets and grants Makode a license to use them for the execution of the project.
Upon full payment, the Client receives the right to use the final deliverables defined in the SOW.
Makode’s frameworks, methods, processes, and know-how remain the exclusive property of Makode.
Prior to full payment, deliverables must not be published, distributed, or reused.
9. Confidentiality and privacy
Non-public information exchanged during the project must be treated as confidential.
The processing of personal data follows our Privacy Policy: makode.ca/policies/privacy-policy.
Where necessary, the parties may enter into specific agreements to comply with applicable data protection laws.
10. Limitation of liability
Projects involving strategy, technology, and growth are subject to variables beyond the control of any party, including market decisions, third-party platforms, and the Client’s operational choices.
To the maximum extent permitted by law, Makode shall not be liable for indirect damages, loss of revenue, loss of data, or loss of business opportunities.
Where liability is established, it shall be limited to the lesser of:

The total amount paid to Makode in the three (3) months preceding the event; or
-
The total value of the applicable SOW.
11. Termination
The relationship between Makode and the Client is designed for continuity, clarity, and evolution.
However, there may be situations where suspension or termination of services becomes necessary, including breaches of these Terms, non-payment, or legal requirements.
Where applicable, specific rules regarding termination, notice periods, transition, and handover shall be defined in the SOW.
12. Governing law
The applicable law and jurisdiction shall be determined according to the Makode legal entity responsible for the contract, as specified in the SOW, subject to mandatory applicable laws.
